Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “your”) and OctopusLab (“OctopusLab”, “we”, “us”, “our”) governing your access to and use of the OctopusLab platform, websites, APIs, and related services (collectively, the “Service”).

By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

To use most features you must create an account. You agree to provide accurate information, keep your credentials secure, and notify us promptly of any unauthorized access. You are responsible for all activity under your account.

3. Subscriptions, Plans, and Payment

OctopusLab offers Free, Starter, Pro, and Scale plans (the “Plans”). Current pricing is shown on octopus-lab.app/pricing and may change with prospective effect on notice.

3.1 Payment in Cryptocurrency

Paid Plans are billed in cryptocurrency through third-party providers (currently NOWPayments and xRocket). You authorize us to treat the receipt of the required amount at the address shown on the in-app invoice as confirmation of payment for the corresponding billing period.

3.2 No Refunds; Payments Are Final

Cryptocurrency payments are irreversible by nature of public blockchains. All payments are final, and we do not offer refunds, pro-rated credits for downgrades, or chargebacks. You should review your Plan selection carefully before paying. Where applicable consumer-protection law grants a non-waivable right to cancel, we will honor that right to the minimum extent required.

3.3 Renewals

Paid Plans renew at the start of each billing period only upon receipt of payment from you. If we do not receive payment by the renewal date, your Plan automatically reverts to Free and feature access is reduced accordingly.

3.4 Taxes

You are responsible for any taxes, levies, or duties imposed by your jurisdiction on your use of the Service, except for taxes on our net income.

4. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. Violations may lead to immediate suspension or termination of your account, without refund and without liability to you.

5. Your Content

You retain all rights, title, and interest in and to the content you submit to the Service — including the prompts you enter, project files you create, AI-generated code and assets that result from your prompts, custom domains you attach, and any other material you upload (collectively, “User Content”).

To operate the Service, you grant OctopusLab a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, and display User Content solely to provide the Service to you, to back up your data, to debug or improve the Service (in anonymized or aggregated form), and to comply with legal obligations. This licence ends when you delete the User Content from the Service, except where retention is required by law or necessary for security, fraud prevention, or dispute resolution.

6. AI-Generated Content

OctopusLab uses third-party large language models (currently including Anthropic Claude, OpenAI GPT, and other models accessed via OpenRouter) to generate code and other outputs from your prompts (“AI Output”).

AI Output may be inaccurate, incomplete, insecure, or infringing on third-party rights. You are solely responsible for reviewing and testing AI Output before using it in production, deploying it, or distributing it. OctopusLab makes no warranty that AI Output is fit for any particular purpose, non-infringing, free of vulnerabilities, or suitable for your use case.

As between you and us, you own the AI Output generated from your prompts to the extent permitted by applicable copyright law. We do not claim ownership of your AI Output.

7. Our Intellectual Property

The OctopusLab name, logos, design, documentation, and the underlying platform are owned by us and protected by intellectual-property laws. Nothing in these Terms transfers any OctopusLab intellectual property to you, except for the limited licence to use the Service granted herein. Open-source components included in the Service are licensed under their respective licences.

8. Third-Party Services

The Service integrates with third-party providers — hosting, AI models, payment processors, email, telemetry, and others (see our Privacy Policy for the current list). Your use of those third-party services is subject to their own terms. We are not responsible for the acts, omissions, or content of third parties.

10. Service Availability; Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment, to the maximum extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will OctopusLab, its officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Service.

Our aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) USD 100, or (b) the total amount you paid us in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow these limitations; in such cases the limitations apply to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless OctopusLab and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from (i) your User Content, (ii) your use of the Service, (iii) your violation of these Terms or the Acceptable Use Policy, or (iv) your violation of any third-party right.

13. Suspension and Termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms or the Acceptable Use Policy, if continued use creates risk to us or others, or if required by law. You may close your account at any time. Upon termination, your right to access the Service ends and we may delete your User Content after a reasonable grace period (typically 30 days) except where retention is required by law.

14. Changes to the Service or Terms

We may modify or discontinue features at any time. We may modify these Terms prospectively; material changes will be communicated at least 14 days in advance by email or in-app notice. Continued use after the effective date of changes constitutes acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict-of-laws rules. The exclusive forum for disputes is the competent courts of the same jurisdiction, unless mandatory consumer-protection law of your residence provides otherwise.

16. Miscellaneous

If any provision of these Terms is held unenforceable, the remainder will continue in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign these Terms to an affiliate or in connection with a merger or sale of assets. These Terms (together with the Privacy Policy and Acceptable Use Policy) constitute the entire agreement between you and us regarding the Service.
